Terms of Service

Please read these terms carefully before using our website or engaging DTC PickAndPack for fulfillment services. These terms govern your relationship with us.

1. Acceptance of Terms

By accessing our website or engaging DTC PickAndPack for fulfillment services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms apply to all visitors, clients, and others who access or use our services.

2. Services

DTC PickAndPack provides third-party logistics (3PL) services including pick and pack fulfillment, warehousing, shipping, returns processing, and custom packaging for direct-to-consumer brands.

The specific scope of services, pricing, and service levels for each client are governed by a separate service agreement or quote confirmation. In the event of a conflict between these Terms and a signed service agreement, the service agreement prevails.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate product information, SKU data, and inventory details

• Ensure all inventory shipped to our facility complies with applicable laws and regulations

• Maintain adequate inventory levels to fulfill your orders

• Notify us promptly of any changes to your order volume, product mix, or fulfillment requirements

• Pay all invoices in accordance with agreed payment terms

4. Inventory & Liability

DTC PickAndPack takes reasonable care of all inventory stored at our facility. However, we are not liable for loss or damage caused by circumstances beyond our reasonable control, including but not limited to natural disasters, theft by third parties, or inherent product defects.

Clients are encouraged to maintain appropriate insurance coverage for their inventory. Any claims for damaged or lost inventory must be submitted in writing within 30 days of the incident.

5. Shipping & Carrier Terms

We ship orders using third-party carriers (e.g., Canada Post, UPS, FedEx, Purolator). Once an order is handed to a carrier, it is subject to that carrier's terms and conditions.

DTC PickAndPack is not responsible for carrier delays, lost packages after handoff, or customs clearance issues for international shipments. We will assist in filing carrier claims where applicable.

6. Payment Terms

Invoices are issued in accordance with the billing schedule agreed upon in your service agreement. Payment is due within the timeframe specified on each invoice.

Late payments may be subject to interest charges. DTC PickAndPack reserves the right to suspend services for accounts with outstanding balances beyond the agreed payment terms.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared in the course of the service relationship. This includes but is not limited to pricing, order data, customer information, and operational processes.

This obligation survives the termination of any service agreement.

8. Intellectual Property

All content on this website — including text, graphics, logos, and design — is the property of DTC PickAndPack and may not be reproduced or used without written permission.

Client-provided materials (logos, packaging artwork, brand assets) remain the intellectual property of the client. By providing these materials, you grant DTC PickAndPack a limited license to use them solely for the purpose of fulfilling your orders.

9. Termination

Either party may terminate the service relationship with 30 days written notice, unless otherwise specified in a signed service agreement.

Upon termination, clients are responsible for arranging the removal or transfer of their inventory within 30 days. Storage fees may apply for inventory remaining beyond this period.

10. Limitation of Liability

To the fullest extent permitted by law, DTC PickAndPack's total liability to any client for any claim arising out of or related to our services shall not exceed the total fees paid by that client in the three months preceding the claim.

We are not liable for any indirect, incidental, special, or consequential damages, including lost profits or loss of business opportunity.

11. Governing Law

These Terms of Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.

12. Changes to These Terms

We may update these Terms of Service from time to time. When we do, we will revise the "Last Updated" date at the top of this page. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
